1. Agreement
These Terms and Conditions ("Terms") govern your use of cutbillinnovations.com (the "Site") and the services provided by Cutbill Innovations ("Company," "we," "us"). By accessing the Site or engaging our services, you agree to these Terms.
2. Eligibility
You must be 18 or older and authorized to enter into binding contracts. If acting on behalf of an organization, you confirm you have authority to bind it.
3. Services
We provide business automation, AI integration, and systems consulting. The scope, deliverables, and fees of any engagement are governed by a separate Service Agreement, which prevails over these Terms in the event of conflict.
Complimentary strategy sessions create no obligation to purchase services.
4. Client Responsibilities
Clients are responsible for providing accurate information, granting necessary access, responding to communications, maintaining their own data backups, and complying with applicable laws and third-party platform terms.
5. Fees and Payment
Fees are set out in the applicable Service Agreement. Invoices are payable within 30 days. Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law. All fees are exclusive of applicable taxes. We may suspend services on overdue accounts.
6. Intellectual Property
We retain ownership of our pre-existing methodologies, frameworks, templates, and tools. Upon full payment, clients receive a non-exclusive, perpetual license to use custom deliverables for internal business purposes. Clients retain ownership of their own data and materials and grant us a limited license to use them for service delivery.
We may reference client engagements in marketing materials at a general level unless instructed otherwise in writing.
7. Confidentiality
Both parties will protect non-public information shared during the engagement and use it solely for purposes of the engagement. This obligation survives termination.
8. No Guarantee of Results
We provide services with professional care and judgment but do not guarantee specific business, financial, or operational outcomes. Examples and case studies are illustrative only.
9. Third-Party Services
Engagements often involve third-party platforms. We are not responsible for their availability, performance, pricing, policies, or any data or service issues originating with them.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless Cutbill Innovations, its owners, employees, and contractors from any claims arising from your use of the services, breach of these Terms, or violation of applicable law.
13. Termination
Either party may terminate an engagement under the terms of the applicable Service Agreement. We may suspend or terminate Site access for breach of these Terms. Sections that by their nature survive termination shall remain in effect.
14. Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Alberta.
15. Changes
We may update these Terms at any time. Continued use of the Site or services after changes are posted constitutes acceptance.
16. General
These Terms, together with any Service Agreement and our Privacy Policy, constitute the entire agreement between the parties. If any provision is unenforceable, the remainder shall remain in effect. These Terms may not be assigned without our written consent.
